TERMS AND CONDITIONS

We believe it is appropriate, in order to ensure complete transparency, to set out the terms and conditions governing the service we provide. We consider it essential that our Partners are fully informed about all relevant information concerning the conditions of use of the service. However, it is equally important that our Partners undertake to carefully read the following provisions in order to facilitate our work and provide us with all useful means to achieve our common objective.

Article 1 – Subject of the Contract and Services Offered by www.apulialocation.com

  1. The presentation of the services provided on the website www.apulialocation.com (or on other pages connected thereto) does not constitute a binding offer to conclude a contract.
  2. The domain www.apulialocation.com is managed and owned by Dinamo Film S.r.l., with registered office in Bari, Corso Italia no. 191, tax code, VAT number and registration with the Bari Chamber of Commerce no. 07153480723.
  3. Dinamo Film S.r.l., within the scope of its activities of film production, post-production and distribution, intends, through the website www.apulialocation.com, to offer a free digital catalogue of Apulian locations available for film and audiovisual productions, special projects and events.
  4. The Apulia Location Staff – on behalf of its Partner, owner of the property – will handle the promotion, advertising and offering to third parties of the property identified, on its own account, as a location and set, including but not limited to film, television and photographic productions, event organization and wedding planners.
  5. At the same time, Apulia Location, in order to match supply and demand, intends to meet the requests of those (location managers, production companies, advertising and communication agencies) seeking a location suitable for their purposes.

Article 2 – Conclusion of the Contract

  1. By accepting the Terms and Conditions and submitting the "PROPOSE YOUR LOCATION" Form, the Partner submits to Apulia Location a binding offer to conclude an agency agreement concerning the promotion and advertising to third parties of the property subject to the Form.
  2. Apulia Location reserves the right to accept the assignment only after verifying, including by means of an on-site inspection, the data entered (category, brief description, size, style, usability status, whether furnished and whether equipped with services, water and electricity) and the existence of the necessary requirements (technical, urban planning and logistical) for the listing to be included in its catalogue and for the subsequent promotion of the property. Acceptance will be expressly communicated to the Partner by e-mail.

Article 3 – Duties and Obligations of the Partner

By accepting the Terms and Conditions and submitting the "PROPOSE YOUR LOCATION" Form, the Partner undertakes and agrees to:

  1. act in accordance with principles of fairness and good faith, providing all documentation required for the proper preparation of the listing;
  2. promptly communicate any changes to the data previously provided relating to the listing;
  3. authorize Apulia Location to publish on its website www.apulialocation.com video and photographic materials relating to the property, granting full authorization and release for publication and dissemination;
  4. also authorize Apulia Location to provide additional services including, by way of example and not limited to: promotional initiatives, sponsorships, direct marketing activities, public relations and editorial services, additional photographic and film/television services, design of catalogues, brochures, signs and display materials, etc.;
  5. allow Apulia Location, subject to prior agreement and with at least 24 hours' notice, access to the property to carry out inspections and to produce video footage and/or photographic services inside or outside the premises, with the possibility (if expressly agreed) of making temporary changes to the arrangement of furniture and furnishings, including the use of additional staging where necessary;
  6. where Apulia Location informs the Partner of interest expressed by a third party in the property, provide feedback within 24 hours regarding the preliminary availability to grant the location for the requested use, subject to the execution of a specific and separate contract with the third party;
  7. furthermore, should the Partner decide not to proceed or to withdraw from this contract, reimburse Apulia Location for any amounts arising from obligations and commitments previously undertaken with third parties regarding the use of the property.

Article 4 – Duties and Obligations of Apulia Location

Conversely, Apulia Location, following formal acceptance of the assignment pursuant to Article 2.2 above, undertakes and agrees to:

  1. carry out its professional activity in favor of the Partner in accordance with principles of good faith and fairness, with full autonomy in action, timing, organization and in relation to the third parties to be contacted and the methods of performing its activity;
  2. comply with any instructions agreed upon with the Partner;
  3. provide the Partner with all useful information to assess the convenience of individual transactions, also communicating from time to time the names of third parties with whom commercial negotiations are ongoing;
  4. provide the Partner with adequate assistance and supervision during the conclusion of the contract between the Partner and the third-party client;
  5. where expressly requested by the Partner (i.e., in case of difficulty or impossibility to personally supervise, or through trusted persons, the filming or event), make available a representative to manage, in the name and on behalf of the Partner, relations with the third-party client;
  6. not disclose confidential information acquired during the execution of the assignment;
  7. inform the Partner of any impediments to the regular continuation of the relationship, providing, where necessary and as agreed, adequate assistance in handling technical or building-related procedures concerning the usability of the property or compliance of its systems;
  8. in producing video footage and/or photographic services inside or outside the premises, avoid any reference that may allow geolocation of the property or easy identification of valuable furnishings or furniture.
  9. The Party undertakes to ensure the confidentiality of the location, committing to obscure and/or omit the main details, information, or elements that could make it directly identifiable, as well as to limit any geographical reference solely to the indication of the relevant province, excluding any further territorial specifications.

Article 5 – Costs and Payment

  1. In consideration of the obligations undertaken by the parties under this contract, no compensation and/or reimbursement of expenses shall be due by the Partner to Apulia Location, except in the case referred to in Article 3.7.
  2. It is understood that Apulia Location acts in pursuit of its own economic interest, which shall be satisfied through commissions paid directly by third-party clients.

Article 6 – Duration and Termination of the Contract

  1. This contract shall enter into force upon acceptance of the Terms and Conditions and submission of the "PROPOSE YOUR LOCATION" Form by the Partner and the subsequent acceptance of the assignment by Apulia Location, and shall remain in force for an indefinite period, without prejudice to the right of either party to withdraw at any time by giving notice to the other party with 30 days' prior written notice.

Article 7 – Privacy

  1. Apulia Location processes personal data in compliance with applicable law and solely for the purpose of fulfilling obligations arising from the contract.
  2. All information regarding the processing of personal data, purposes, methods and the rights of the data subject is set out in the Privacy Policy submitted to the Partner with separate and independent consent collection.

Article 8 – Applicable Law and Jurisdiction

  1. This contract shall be governed by Italian law.
  2. For any dispute relating to this contract, the Court of Bari shall have exclusive jurisdiction (with express exclusion of any other potentially competent court), without prejudice to Apulia Location's right to bring proceedings before any other court having jurisdiction under applicable law.
